Terms of Service

These Terms of Service ("Terms") govern your use of tradegrade.co.uk (the "Service"), operated by CHRISWARDDIGITALSERVICES LIMITED (company no. 17300115), a company registered in England and Wales, trading as TradeGrade ("we", "us", "our"). Registered office: 27 Old Gloucester St, London, WC1N 3AX. By creating an account or using the Service, you agree to these Terms.

1. The Service

TradeGrade is a trading journal application that helps traders track, review, and analyse their trading activity, including AI-generated session analysis powered by Anthropic's Claude API. The Service is provided as-is and is intended for personal trading journal use.

2. Accounts

• You must provide accurate information when creating an account and keep your login credentials secure.
• You are responsible for all activity that occurs under your account.
• You must be 18 or older to use the Service.
• One account is intended for use by one individual; account sharing that circumvents subscription tier limits is not permitted.

3. Subscriptions & billing

• The Service offers several subscription tiers (Starter, Pro Monthly, Pro Annual, Pro+), each with different features and monthly AI analysis limits, as described on the Plan & Billing page within the app.
• Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on the plan) via Stripe.
• You may cancel your subscription at any time; access continues until the end of the current billing period, with no further charge. On annual plans, this means your access continues for the remainder of the year you've already paid for — cancelling does not refund the unused portion (see our Refund Policy for the 30-day guarantee, which is the only refund mechanism we offer).
• We reserve the right to change subscription pricing with reasonable advance notice. Changes will not apply retroactively to an already-paid billing period.

4. Your right to cancel (cooling-off period)

As a UK consumer entering into this contract online, you have a statutory right to a 14-day cooling-off period under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, during which you could otherwise cancel and receive a full refund without giving a reason.

When you create an account, we ask you to expressly confirm that you want your account and any paid features to begin immediately, rather than waiting for this 14-day period to pass. By checking this box at signup, you acknowledge that you are giving up your statutory cooling-off cancellation right for the digital service supplied to you during that period. This does not affect our separate 30-day money-back guarantee described below, which is more generous than what the law requires and is offered regardless of this waiver.

6. Your data

Trade data you enter is stored locally in your browser and automatically backed up to our secure cloud storage (Supabase). Your data is synced on every save and restored when you log in on any device. You retain ownership of all trading data you input into the Service.

You are responsible for any data you choose to delete — deletion removes data from both your browser and our cloud backup permanently. We recommend exporting a CSV backup periodically as an additional safeguard.

By using the AI Analysis feature, you consent to the relevant data (trade details, notes, and any chart images you upload) being sent to Anthropic's Claude API for processing, as described in our Privacy Policy.

7. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to circumvent subscription tier limits, rate limits, or access controls
• Attempt to extract, scrape, or reverse-engineer the Service
• Upload content that is unlawful, infringing, or that you do not have the right to share
• Interfere with or disrupt the operation of the Service

We reserve the right to suspend or terminate accounts that violate these Terms.

8. Service availability

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted access. The Service may occasionally be unavailable due to maintenance, technical issues, or factors outside our control. AI Analysis features depend on third-party services (Anthropic) and may occasionally be delayed or unavailable.

9. Limitation of liability

To the fullest extent permitted by law, TradeGrade is provided without warranties of any kind, express or implied. We are not liable for any trading losses, financial decisions, or damages arising from your use of the Service, including reliance on AI-generated analysis. Our total liability to you for any claim arising from these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim.

Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded under UK law, including liability for death or personal injury caused by negligence, or fraud.

10. Termination

You may close your account at any time via the Service. We may suspend or terminate your access if you breach these Terms. Upon termination, your right to use the Service ends immediately; locally stored trade data on your own device is unaffected by account termination.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on the Service. Continued use after changes take effect constitutes acceptance of the updated Terms.

12. Governing law

These Terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
